Terms and Conditions of Sale – PIEL ETERNA Professional Online Store

1. Seller identification

Alpha Iberian Soluciones Médicas SL, with Tax ID (NIF) B19405521, registered office at Calle de Hermosilla 48, 28001 Madrid, Spain, registered with the Commercial Registry of Madrid (hereinafter, «PIEL ETERNA» or «the Seller»), operates the online store www.pieleterna.es and is the contracting party for all orders placed through it. 2. Scope of application and professional customers

These General Terms and Conditions of Contract apply exclusively to customers acting within the scope of their professional, business or healthcare activity (B2B customers): doctors, clinics, hospitals, pharmacies, authorised healthcare centres and specialised distributors. The products sold are professional-use medical devices, regulated by Regulation (EU) 2017/745 (MDR) and Royal Decree 192/2023, of 21 March, regulating medical devices. No sales are made to consumers or private individuals; accordingly, the provisions of Royal Legislative Decree 1/2007 (General Law for the Defence of Consumers and Users) relating to the right of withdrawal do not apply.

By placing an order, the customer declares and warrants that they are duly authorised to practise their professional activity in the country in which they carry it out and, in the case of Spain, that they are registered with the corresponding Professional Association (Colegio Profesional). PIEL ETERNA may request, at any time, supporting documentation (professional registration number, healthcare authorisation of the centre, CIF/NIF) and may refuse or cancel orders where the professional status of the customer cannot be verified.

3. Formation of the contract

The presentation of products in the online store constitutes an invitation to place orders and not a binding offer. The customer's order constitutes an offer to purchase. The contract is formed upon express acceptance by PIEL ETERNA through confirmation of the order or of the shipment. PIEL ETERNA reserves the right to refuse orders, in particular where the customer's professional status cannot be verified, where there are reasonable doubts about the intended use of the products, or due to unavailability.

4. Customer data and responsibility

The customer warrants that the data provided is complete, accurate and up to date. The customer is solely responsible for their professional status, their qualification and the intended use of the products, as well as for compliance with the healthcare regulations applicable at the place of use. If the customer provides false or misleading information regarding their professional qualification, the order will be cancelled and PIEL ETERNA may retain €30 plus VAT as administration costs. The customer shall hold PIEL ETERNA harmless against third-party claims, penalties or losses arising from incorrect data or from non-compliant use of the products.

5. Distributor status (MDR)

PIEL ETERNA acts as a distributor within the meaning of Article 14 of Regulation (EU) 2017/745. Products are acquired exclusively from the manufacturer or its authorised distributors, are stored in accordance with the conditions specified by the manufacturer, and are delivered with the batch number and expiry date documented on the delivery note, guaranteeing the traceability required by the regulations. Responsibility for the design, manufacture and conformity of the product lies with the manufacturer.

6. Products and intended use

The products are intended exclusively for professional use in medicine and aesthetic medicine by qualified healthcare personnel, in accordance with the manufacturer's instructions for use. The information published in the store is technical and informational in nature and does not replace the manufacturer's technical data sheet or instructions for use.

7. Prices and payment method

All prices are expressed in euros and do not include VAT. Applicable VAT (generally 21%) and shipping costs are added and shown separately during the purchase process before the order is confirmed. The price applicable is the one in force at the time of the order. Payment is made through the methods offered during the purchase process (card, bank transfer or other available methods). PIEL ETERNA may require advance payment.

8. Shipping, delivery, customer absence and transfer of risk

Orders will be delivered by carriers and logistics companies engaged by PIEL ETERNA, to the professional address provided by the customer during the ordering process. The customer is responsible for providing a complete, correct and up-to-date delivery address, and for ensuring that a person authorised to receive the goods is present at that address.

For the purpose of managing and coordinating delivery, PIEL ETERNA and/or the carrier will use the mobile phone number registered on the customer's account or otherwise provided by the customer to PIEL ETERNA. The customer must provide and keep up to date at all times a valid and operational Spanish mobile phone number (+34), at which they can be contacted during the delivery process. The customer is responsible for ensuring that this number is correct, active and allows communication with PIEL ETERNA and/or the carrier. PIEL ETERNA shall not be obliged to use phone numbers other than the one registered by the customer.

Deliveries will be carried out in accordance with the routes, schedules and delivery conditions established by the contracted carrier. PIEL ETERNA cannot guarantee or require that delivery take place within the opening hours, public-service hours or operating hours of the customer's clinic, practice, pharmacy or healthcare centre, given that delivery schedules and routes are determined by the carrier according to its own operational planning and may vary.

Customer preferences or requests regarding a specific delivery day or time may be communicated to the carrier where possible, but cannot be guaranteed and shall not be binding, except with express written confirmation from PIEL ETERNA. The customer must take the necessary measures to ensure that an authorised person is present to receive the goods during the carrier's usual delivery windows.

If, at the time of delivery, no person authorised to receive the order is present, the carrier may make further delivery attempts and/or contact the customer using the registered mobile phone number. The customer must respond to such communications and reasonably cooperate with the carrier to facilitate delivery.

Where delivery cannot be completed for reasons attributable to the customer — including, among others, their absence, the absence of a person authorised to receive the goods, inability to access the place of delivery, an incorrect or incomplete address, the unavailability or malfunction of the registered mobile phone number, the impossibility of contacting the customer, or an unjustified refusal to accept the goods — the reasonable additional costs arising from further delivery attempts, temporary storage, handling or return of the goods may be charged to the customer.

The absence of the customer or of an authorised person at the time of delivery, even where delivery takes place outside the establishment's usual opening hours, shall not be attributable to PIEL ETERNA where the delivery attempt was carried out in accordance with the carrier's route and planning.

If, following reasonable delivery attempts made by the carrier, the customer does not facilitate receipt of the goods, does not respond to communications, or does not arrange a new delivery, PIEL ETERNA may consider that there has been a breach of the obligation to accept delivery. In such a case, PIEL ETERNA may, where applicable, make the goods available to the customer, request their return, or take any other reasonable measure to manage the order. The reasonable additional costs of transport, return, storage and handling arising from these circumstances may be charged to the customer.

In the event of unjustified refusal of the goods by the customer, the above provisions regarding transport, return and handling costs shall likewise apply, without prejudice to any other rights available to PIEL ETERNA under applicable law.

Delivery will not be made to locations other than the address specified by the customer, nor will goods be left in unauthorised locations, where this could compromise the integrity, security, traceability or preservation of the medical devices.

9. Inspection of goods and returns

The customer must inspect the goods upon receipt and report any issue (transport damage, shipping error, defective product) within a maximum period of 48 hours, in accordance with the Returns and Refunds Policy. Given the nature of the medical devices and their traceability and storage requirements, returns are not accepted outside the cases provided for therein.

10. Export and import

For shipments outside Spain, the customer is solely responsible for compliance with the import regulations of the destination country, including authorisations, customs duties, taxes and regulatory requirements. PIEL ETERNA is not liable for delays or costs arising from customs procedures, except in cases of wilful misconduct or gross negligence.

11. Liability

PIEL ETERNA is liable without limitation in cases of wilful misconduct or gross negligence. In cases of minor negligence, it is liable only for the breach of essential contractual obligations and up to the limit of foreseeable damage. Liability for indirect damages, loss of profit or business interruption is excluded, to the extent permitted by law. Mandatory statutory liability remains unaffected.

12. Retention of title

The goods remain the property of Alpha Iberian Soluciones Médicas SL until the price has been paid in full.

13. Cancellations

Cancellations requested before shipment may incur a charge of 10% of the net order value (minimum €20) as an administration fee.

14. Intellectual and industrial property

The PIEL ETERNA brand, logos, texts, photographs and other content of the store are protected by intellectual and industrial property legislation and belong to Alpha Iberian Soluciones Médicas SL or to their respective owners. Their reproduction or use without written authorisation is prohibited.

15. Resale

The products are supplied for the customer's own professional use. Resale, distribution or transfer to third parties, including sale on online platforms, requires prior written authorisation from PIEL ETERNA. Non-compliance shall entitle PIEL ETERNA to terminate the business relationship and to pursue the appropriate legal action.

16. Data protection

The processing of personal data is governed by the Privacy Policy, in accordance with Regulation (EU) 2016/679 (GDPR) and Organic Law 3/2018 (LOPDGDD).

17. Applicable law and jurisdiction

These terms and conditions are governed by Spanish law, in particular the Civil Code, the Commercial Code, Law 34/2002 on information society services and electronic commerce (LSSI-CE), and Law 7/1998 on general contracting terms. For any dispute, and as these are relationships between professionals, the parties submit to the Courts and Tribunals of the city of Madrid, waiving any other jurisdiction that may correspond to them, except where mandatory law provides otherwise.

18. Final provisions

If any clause is declared void, the remaining terms and conditions shall remain valid. PIEL ETERNA may update these terms and conditions; each order shall be subject to the version in force at the time it is placed.
